Trabajo de Fin de Máster sobre la compraventa de Kvothe Beer, S.A

Elaboración de un informe mediante el cual se dará respuesta a las preguntas que se plantean sobre la compra venta de Newco Buyer, S.L, sociedad constituida por MarvelWeisser Inc. y Chetae, S.L, a Kvothe Beer, S.A sociedad constituida por Alberto Montenegro, quien es dueño de otra sociedad altamente relacionada con las adquirida por Nweco Buyer, S.L, y todos los actos que envuelven a la misma y de los que derivan diversas situaciones que se resuelven en el informe, contemplando para ello todos los posibles escenarios en lo que podrían encontrarse y valorando todas las opciones de respuesta que cabrían entre las distintas sociedades que conforman el informe, todos ello sujeto a la legislación española que se encontraba vigente en el momento de elaboración del informe. Dicho trabajo finalizará con una recomendación en la que, basándonos en tres aspectos fundamentalmente, concretamos que recomendamos unas acciones ante lo visto a lo largo del informe y porque sería mas seguro de cara a un futuro a la hora de llevar a cabo una adquisición de empresas. Para ello plantearemos la acción de cese de Alberto Montenegro por el incumplimiento de sus funciones, todo esto justificado en el presente escrito, así como la opción de adquirir dos tipos de seguros 1) de responsabilidad civil de administradores y directivos y 2) otro que proteja lo contenido en las cláusulas de manifestaciones y garantías, que se detallan en el informe, para valorar las ventajas y seguridades que otorga esto en las operaciones como a la que se hace referencia en el escrito que aquí tratamos.

Preparation of a report by means of which answers will be given to the questions raised about the sale of Newco Buyer, S.L, a company incorporated by MarvelWeisser Inc. and Chetae, S.L, to Kvothe Beer, S.A, a company incorporated by Alberto Montenegro, who is the owner of another company closely related to those acquired by Nweco Buyer, S. L, and all the acts that involve the same and from which various situations derive that are resolved in the report, contemplating all the possible scenarios in which they could find themselves and assessing all the response options that could be found among the different companies that make up the report, all subject to the Spanish legislation that was in force at the time the report was drawn up. This work will end with a recommendation in which, based on three fundamental aspects, we specify what we recommend compared to what has been seen throughout the report and what would be safer in the future when it comes to carrying out an acquisition of companies. To this end, we will propose the action of dismissing Alberto Montenegro for breach of his duties, all of which is justified in this document, as well as the option of acquiring two types of civil liability insurance for directors and executives and another that protects the content of the clauses of representations and guarantees, which are detailed in the report, to evaluate the advantages and security that this provides in operations such as the one referred to in the document we are dealing with here.
