El papel del gobierno corporativo en los grandes escándalos empresariales. Los casos Enron, Toshiba y Volkswagen

Los escándalos corporativos que han surgido en las dos últimas décadas ponen de relieve la necesidad de mejorar la composición y funcionamiento de muchos gobiernos corporativos. Esta investigación, mediante el estudio de tres empresas protagonistas de grandes escándalos empresariales– Enron, Toshiba y Volkswagen-, pretende identificar cuáles son los aspectos de su gobierno corporativo que fallan y que permiten que estas conductas, tan alejadas de los “códigos de buena conducta” que ellas mismas suscriben, penetren en la empresa. El estudio revela que es la falta de un sistema de control efectivo lo que provoca el desarrollo de estas conductas y pone de relieve la necesidad de instalar mecanismos que verifiquen de manera objetiva el buen funcionamiento del consejo.

The high amount of business scandals that have occurred in the last two decades spotlights the necessity of improvement in the corporate governance’s composition and functioning of many companies. This dissertation, through three case studies of three companies that have suffered these kind of crisis – Enron, Toshiba and Volkswagen-, aims to identify the aspects of the Corporate Governance of these companies that are failing and lead them to act against the codes of behaviour that they are subscribed to. This study concludes that the lack of real control in the boards is the reason why these scandals still happen and it emphasizes in the necessity of mechanisms that verify the good performance of the board in an objective and reliable way.
