El presente trabajo tiene por objeto la realización de un informe jurídico sobre las cuestiones que plantea el grupo Castilla ante la adquisición de un treinta por ciento de una rama de actividad de una de sus filiales por un fondo de inversión, ante la ampliación de capital una de sus sociedades cotizada en bolsa ante la suscripción de acciones por parte de una empresa estadounidense y ante los problemas derivados en el consejo de administración de su holding por la venta de las participaciones sociales que la misma tenía sobre otra sociedad.
en el presente informe se trata el estudio de la segregación y escisión parcial de sociedades de capital, la sucesición penal y laboral de empresas, la adquisición directa de participaciones sociales y de activos y pasivos de sociedades, el funcionamiento de la oferta pública de adquisición de acciones y el alcance de las facultades del órgano de administración.

The purpose of this work is to prepare a legal report on the issues raised by the Castilla group in the acquisition of thirty percent of a branch of activity of one of its subsidiaries by an investment fund, the capital increase of one of its listed companies in the face of the subscription of shares by an American company and the problems arising in the board of directors of its holding company due to the sale of the shares it held in another company.
this report deals with the study of the segregation and partial spin-off of capital companies, the criminal and labor succession of companies, the direct acquisition of shares and assets and liabilities of companies, the operation of the tender offer and the scope of the powers of the board of directors.
