Las SPAC: perspectiva regulatoria y problemática jurídica

En este trabajo se realiza un análisis de uno de los vehículos de inversión del momento, las Special Purpose Acquisition Companies. En la primera parte del trabajo se realiza un estudio del origen de este tipo de compañías, se presentan las partes involucradas en la operación y se reflexiona acerca del concepto. Una vez estas entidades han sido presentadas se analiza dese un punto de vista eminentemente práctico la vida de este tipo de compañías en paralelo con la regulación aplicable en cada uno de los hitos en EE.UU., para terminar con una comparativa entre las IPO tradicional y la SPAC. En la segunda parte del análisis se estudia la regulación aplicable a este tipo de compañías en España, tratando de identificar la problemática regulatoria que se presenta a lo largo de la vida de la compañía. Una vez analizada la regulación vigente se estudia el anteproyecto de ley presentado en 2021, que intenta paliar algunos de los problemas identificados en el análisis posterior. Para terminar, se estudia el futuro de este tipo de compañías teniendo en cuenta la tendencia descendente actual, para terminar proponiendo un modelo de entidad que se ajuste más a lo que probablemente demande el mercado.

This paper analyzes one of the investment vehicles of the moment, the Special Purpose Acquisition Companies. The first part of the paper studies the origin of this type of companies, presents the parties involved in the operation and reflects on the concept. Once these entities have been presented, the life of this type of companies is analyzed from an eminently practical point of view along with the applicable regulation in each of the milestones in the USA, to finish with a comparison between the traditional IPO and the SPAC. In the second part of the analysis, the regulation applicable to this type of companies in Spain is studied, trying to identify the regulatory problems that arise throughout the life of the company. Once the current regulation has been analyzed, the draft bill presented by the Spanish Government in 2021, which attempts to alleviate some of the already identified problems is studied. The final part analyses the future of this type of companies taking into account the actual down tendency, finalizing with a proposal of new SPAC that better suits the current market demands.
