Contratos Inteligentes y Compraventas Especiales

El presente trabajo analiza y explora la aplicación y regulación de los contratos inteligentes o smart contracts a través de un estudio de las características generales de éstos, su compatibilidad con el ordenamiento jurídico mercantil, tanto en el ámbito nacional español como en el internacional, y los posibles retos y beneficios que su uso conlleva, particularmente en el ámbito de las compraventas especiales del ordenamiento mercantil español. Para ello, atenderemos no sólo a la realidad de los contratos inteligentes en sí, sino que también estudiaremos los contratos de compraventa más habituales en los que los smart contracts tendrán una mayor incidencia en el corto y largo plazo. Durante todo el trabajo, prestaremos especial atención a la implicación y aplicación de las tecnologías Blockchain y su injerencia en los nuevos modelos de compraventas internacionales, como pilar base para la constitución de contratos inteligentes.

This paper analyses and explores the application and regulation of smart contracts through a study of their main characteristics, their compatibility with the business legal system, both at the Spanish and international level, and the possible challenges and benefits of their use, particularly in the field of the Spanish regulations on purchase and sale commercial law agreements. In order to do so, we will focus not only on smart contracts, but also on the main purchase agreements in which smart contracts will have a higher impact in the short and long term. Throughout this paper, we will pay close attention to the application and implications of Blockchain technologies and their effects in the new models of international trading agreements, as a cornerstone to the constitution of smart contracts.
