Exposición del sentido general de la reforma de la Ley de Sociedades de Capital desde la perspectiva del Anteproyecto de reforma de la Comisión de Expertos de octubre de 2013, e introducción a la investigación que se desarrolla en los capítulos del comentario: cambios en materai de junta general, deberes de los administradores, impugnación de acuerdos de los órganos y mejora del gobierno de las sociedades de capital, entre otros.

A general reflection on the aim of the reform of the Spanish Capital Company Act produced by a Committee of Experts in company law named by the Government of the Nation is posed herein under the perspective of an introduction to the research developed in the next chapters, mainly on modifications of the legal regime of general meeting, fmanagerial iduciary duties, challenging and contestation of agreements, and enhancement of corporate governance amongst other.
