Compraventa de una sociedad que tiene el control del 25% de las centrales hidráulicas operativas en España. La compraventa la van a llevar a cabo dos sociedades, una luxemburguesa y otra española. La sociedad tiene 1.000.000€ dividido en 1.000.000 de participaciones sociales con 500M de deuda, de los cuales 400M pertenecen a BE y 100M a préstamos participativos. Pretenden adquirir la sociedad con fondos propios aunque se están planteando utilizar los fondos propios de la sociedad target.
La sociedad luxemburguesa pretende adquirir el 90% del capital social, mientras que la española adquirirá el 10%, pero la gestión correrá a cargo de la sociedad española, para ello pactarán la distribución de los cargos por medio de pactos parasociales.

SPA of a company which controls 25% of the operating hydroelectric power plants in Spain. The sale is to be carried out by two companies, one from Luxemburgo and the other from Spain. The company has 1,000,000€ divided in 1,000,000 shares with 500 M of debt, of which 400M belong to BE and 100M to participative loans. They intend to acquire the company with their own funds, although they are considering using the target´s company´s own funds.
The Luxembourg company intends to acquire 90% of the share capital, while the Spanish company will acquire 10%, but the management will be responsibility of the Spanish company, for which purpose they will agree on the distribution of positions by means of shareholder´s agreements.
