Por medio del presente informe, Marín Rubio Abogados, S.L.P va a asesorar al Cliente sobre las consecuencias que pueden derivarse si Kvothe Beer, S.A. decide terminar de forma anticipada el contrato suscrito con Dennas, S.L. Asimismo, examinaremos las posibles acciones que pueden interponerse frente a D. Alberto Montenegro por su actuación como consejero de Kvothe Beer, S.A., y por su intervención durante la negociación del contrato de compraventa. Posteriormente, analizaremos cuál es el procedimiento que Chetae, S.L. debería de respetar para ejecutar la opción de venta, y determinaremos cuál sería el Derecho aplicable en caso de controversia. Finalmente, estudiaremos la posibilidad de adoptar acuerdos en la reunión del consejo de 30 de noviembre de 2021, y determinaremos la validez de las garantías otorgadas durante el procedimiento de financiación de la compraventa de Kvothe Beer, S.A.

Through this report, Marín Rubio Abogados, S.L.P. is going to advise the Client on the consequences that may arise if Kvothe Beer, S.A. decides to terminate the contract signed with Dennas, S.L. Furthermore, we will also examine the possible actions that may be brought against Mr. Alberto Montenegro for his conduct as a director of Kvothe Beer, S.A., and for his intervention during the negotiation of the sale and purchase contract. Subsequently, we will analyse the procedure that Chetae, S.L. should follow in order to execute the put option, and we will determine which law would be applicable in the event of a dispute. Finally, we will study the possibility of adopting agreements at the board meeting of 30 November 2021, and we will determine the validity of the guarantees granted during the financing procedure of the sale and purchase of Kvothe Beer, S.A.
