Prevención de los conflictos de interés en la administración societaria

La mejor manera de reducir el número de conflictos de interés entre administrador y sociedad es dirigir los esfuerzos societarios hacia su prevención. En este contexto, el presente trabajo tiene como objetivo facilitar la comprensión del régimen legal previsto para este tipo de situaciones y proponer una serie de medidas que permitan completarlo en función a las características de una sociedad concreta y de su entorno competitivo.

A tal fin, se revisa la literatura académica existente para delimitar el deber de lealtad del administrador y el concepto de conflicto de interés entre este y la sociedad, se profundiza sobre los supuestos más comunes de conflicto y, finalmente, se proponen diferentes medidas que permitan prevenirlos a través de la adaptación del régimen legal a la realidad de cada sociedad.

The best way to reduce the number of conflicts of interest between the manager and the firm is to direct the company's efforts towards its prevention. In this context, the aim of this project lies in the facilitation of the understanding of the legal system established for this type of situation and the proposal of a series of measures that will complete it according to the characteristics of a specific company and its competitive environment.

For that purpose, the existing academic literature is reviewed to define the duty of loyalty of the manager and the concept of conflict of interest between the latter and the company, the most common situations of conflict are analyzed in deep and, finally, different measures are proposed to prevent them through the adaptation of the legal system to the reality of each company.
