OPERACIONES SOCIETARIAS: FORMA DE ADQUIRIR ACTIVOS, TRASLADO DOMICILIO AL EXTRANJERO Y PACTO DE SOCIOS

En el TFM MUAA vamos a analizar las posibles formas de adquirir un activo, en concreto, una marca: se analizará el procedimiento mediante autocartera, la ampliación de capital y la SPA. También se analizarán la pertinencia y requisitos de traslado de domicilio social al extranjero. Finalmente, se hará un análisis de los distintos acuerdos sociales y su susceptibilidad de ser impugnados, así como las posibles responsabilidades de administradores subyacentes a estas operaciones.

In the TFM MUAA we are going to analyse the possible ways of acquiring an asset, specifically a brand: we will analyse the procedure through treasury stock, the capital increase and the SPA. We will also analyse the relevance and requirements of transfering the registered office abroad. Finally, an analysis will be made of the various corporate resolutions and their susceptibility to opposite, as well as the possible responsibilities of directors underlying these operations.
