El presente trabajo de fin de máster tiene por objeto dar respuesta a las diferentes cuestiones planteadas para la adquisición de la sociedad Hidro Power S.L. por ABC Capital S.A.R.L. y X.Y.Z S.L. Las cuestiones planteadas son diversas y de alcance para con distintas ramas del derecho. Las cuestiones a resolver versan, en esencia, sobre todos los requisitos regulatorios que debe cumplirse en esta compraventa de la sociedad HP considerando aspectos de regulación sectorial, de control de inversiones extranjeras, societarios y mercantiles, así como tributarios y regulatorios, resolviendo todas las cuestiones planteadas por las sociedades asesoradas en su mayor interés.

The purpose of this Master's thesis is to provide answers to the different questions raised for the acquisition of the company Hidro Power S.L. by ABC Capital S.A.R.L. and X.Y.Z.S.L. The questions raised are diverse and involve different branches of law. The issues to be resolved essentially concern all the regulatory requirements that must be met in this sale and purchase of the HP company, considering aspects of sectorial regulation, foreign investment control, corporate and commercial, as well as tax and regulatory aspects, resolving all the issues raised by the companies advised in their best interests.
