The objective of the following paper is to analyze the evolution and current
situation of corporate governance in Spain. It starts with a brief consideration of the
concept of corporate governance and its origin and drivers on an international level.
Afterwards, it exposes the introduction of the good governance movement in Spain by
means of soft law, and the conversion of many of its precepts into imperative legal rules.
Finally, it analyzes two of the main rules regarding corporate governance in Spain: the
Consolidated Text of the Companies Law and the new Code of Good Governance of
public companies, focusing on the effect of their regulations in the transparency and the
board of directors from public companies.
